These Terms of Service ("Terms") govern your access to and use of the InsightAgent platform, including our website, applications, and services (collectively, the "Service") provided by InsightAgent Inc. ("InsightAgent," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

InsightAgent provides a platform for conducting and managing AI-powered expert interviews, designed for investment professionals, research analysts, and other business users. Our Service includes:

• CoPilot: Real-time interview augmentation with live transcription, AI-powered insights, and compliance monitoring during your calls
• AI Agent: Autonomous interview agents that conduct structured interviews on your behalf via phone or web
• Interview Management: Scheduling, conducting, and managing phone and web-based interviews
• Transcription: AI-powered automated transcription of interview recordings
• AI Analysis: Summaries, insights, structured data extraction, and analysis generated by our AI systems
• Dashboard: Interview management, analytics, and expert profile tracking

The Service is intended for professional business use and is not designed for consumer applications.

3. Account Registration

To use certain features of our Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with others or allow others to access your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used in a manner that threatens the security or integrity of the Service.

4. Acceptable Use

You agree to use the Service only for lawful business purposes. You shall not:

• Use the Service in violation of any applicable laws or regulations
• Conduct interviews without proper consent from participants
• Record or transcribe interviews where doing so is prohibited by law
• Use the Service to obtain or trade on material non-public information (MNPI) in violation of securities laws
• Use the Service to harass, abuse, or harm others
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other harmful code
• Collect or store personal data about others without their consent
• Use the Service for any fraudulent or deceptive purpose
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service except through our provided APIs
• Resell or redistribute the Service without our express written permission

We reserve the right to investigate and take appropriate action against anyone who violates these acceptable use provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

5. Interview Recording & Consent

When using our Service to conduct interviews, you are solely responsible for:

• Obtaining all necessary consents from interview participants before recording begins
• Informing participants that AI technology will be used in the interview (including for AI Agent calls)
• Disclosing that the conversation will be recorded and transcribed
• Complying with all applicable recording consent laws in your jurisdiction and the participant's jurisdiction (including two-party consent states)
• Ensuring that the use of interview data complies with applicable privacy laws
• Maintaining appropriate compliance documentation for your organization

InsightAgent provides tools to help facilitate compliance (such as automated disclosures), but you remain solely responsible for ensuring proper consents are obtained and applicable laws are followed. InsightAgent is not responsible for your failure to obtain proper consents or comply with applicable laws regarding interview recording and data use.

6. Confidentiality

6.1 Your Confidential Information

We understand that the information you process through our Service may be highly sensitive and confidential. We commit to:

• Treating your interview content, transcripts, and analysis as confidential information
• Not accessing your content except as necessary to provide the Service or as required by law
• Not disclosing your content to third parties except as described in our Privacy Policy
• Implementing appropriate technical and organizational security measures

6.2 Our Confidential Information

You agree to maintain the confidentiality of any non-public information about InsightAgent, including:

• Pricing, features, or capabilities not publicly disclosed
• Technical information about our systems or AI models
• Business strategies or plans shared with you
• Any information marked as confidential

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, AI models, and underlying technology, is owned by InsightAgent and is protected by copyright, trademark, patent, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

7.2 Your Content

You retain ownership of any content you create, upload, or generate through the Service, including interview recordings, transcripts, and related data ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Content solely to provide the Service to you.

7.3 AI-Generated Content

Summaries, insights, structured data, and other content generated by our AI systems based on Your Content belong to you. However, you acknowledge that:

• We may use anonymized and aggregated data to improve our AI models and Service
• AI-generated content should be reviewed for accuracy before relying on it
• Similar AI outputs may be generated for other users from different source materials

8. Subscription & Payment

8.1 Subscription Plans

Access to certain features requires a paid subscription. Subscription plans, pricing, and included features are described on our website and may be modified from time to time with notice to you.

8.2 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are stated in U.S. dollars unless otherwise specified
• All fees are non-refundable except as expressly stated in these Terms or required by law
• You authorize us to charge your payment method for all applicable fees
• Failure to pay may result in suspension or termination of your account
• You are responsible for any taxes applicable to your use of the Service

8.3 Usage Limits & Overages

Your subscription plan includes certain usage limits (e.g., number of interviews, AI Agent minutes, seats). Usage exceeding these limits may:

• Incur additional charges as specified in your plan
• Result in temporary service limitations until the next billing cycle
• Require an upgrade to a higher tier plan

8.4 Price Changes

We may change our prices at any time. Price changes will take effect at the start of the next billing cycle following notice to you. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

9. Cancellation & Termination

9.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not receive a refund for unused time in your current billing period
• You may export your data before the end of your subscription

9.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• You engage in conduct that we determine is harmful to the Service or other users
• Your payment method fails and is not resolved within a reasonable time
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will retain your data for a period of 90 days following termination, during which you may request export of your data. After this period, we may delete your data unless required by law to retain it longer.

10. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Unscheduled maintenance or emergency repairs
• Issues with third-party service providers
• Circumstances beyond our reasonable control

For enterprise customers, service level commitments may be specified in a separate agreement.

You agree to indemnify, defend, and hold harmless InsightAgent and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party, including interview participants
• Your failure to obtain proper recording consents
• Your Content or how you use AI-generated outputs
• Any claims that your use of the Service violates applicable laws

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date at the top of this page
• Sending you an email notification for significant changes
• Displaying a notice within the Service

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.

• Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and InsightAgent regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely, including in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or Internet disruptions.
• Notices: We may provide notices to you via email, through the Service, or by posting on our website. You may provide notices to us at the contact information below.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
• Export Compliance: You agree to comply with all applicable export control laws and regulations in your use of the Service.
